Release and Waiver of Intellectual Property Rights

In consideration for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, you hereby freely and without restraint consent to and grant to Accedian Networks Inc., and its agents, successors, licensees, assigns, affiliated entities or anyone authorized by Accedian Networks Inc. (collectively, “Accedian”) the right to use, exploit, including by publishing, printing, photographing, videotaping and recording, or otherwise reproduce your voice, appearance, opinions, statements, name, place of work and other personal information provided to Accedian during the  event related to the registration this Release and Waiver is linked thereto (the “Materials”), to own all the results thereof for copyright purposes, and to exhibit, display, distribute, transmit and/or otherwise exploit any and all such reproductions containing your voice, opinions, statements, appearance, and/or other contributions, altered as Accedian may see fit, in any and all media now or hereafter known for commercial and promotional purposes, including without limitation by means of internet, including social media, email, still photography, television, video, soundtrack recordings, printing, public displays, exhibitions, and in advertising and/or publicity in connection therewith, and the right to use your name and place of work in any connection with any of the foregoing.  The rights granted by you hereunder are granted for the entire universe and shall inure in perpetuity and no further compensation shall be payable to you at any time in connection therewith.

You hereby release and hold harmless Accedian and its officers, directors, agents, representatives and employees from any and all claims, liabilities, actions and demands arising out of or in connection with the uses stated above, including without limitation any and all claims for libel, slander, invasion of privacy, infringement of my right of publicity, defamation, copyright or trademark violation, and any other personal and/or proprietary rights, and you agree that you shall not now or in the future assert or maintain any such claim against Accedian with respect to the subject matter herein.  You hereby further renounce to seek injunctive or equitable relief, including termination of this Release, against Accedian.

This Release shall be governed by New York law without regard to its conflict of laws principles.
